speKset — Terms of Service

These Terms of Service ("Terms") govern your access to and use of speKset (the "Service"), operated by speKset LLC ("we", "us"). By using the Service you agree to these Terms. If you don't agree, don't use the Service.

1. The Service

speKset is a web-based 3D design and documentation tool for LED walls, trusses, stages, and related production equipment. The Service lets you build scenes, export technical paperwork (PDFs, CAD, OBJ, DXF, etc.), and share read-only previews with clients or reviewers.

2. Accounts and subscriptions

Use of the Service may require a subscription, billed via our third-party payment processor (Stripe). By subscribing you authorize recurring charges for the plan you selected. You can cancel at any time through the same account; cancellations take effect at the end of the current billing period. We don't refund partial periods except where required by law.

You are responsible for keeping your account credentials secure. We may suspend or terminate accounts for non-payment or violation of these Terms.

3. Your content

You own your scene data. The LED designs, exported files, floor plans, venue imports, and any other content you create in the Service ("Your Content") belong to you. We claim no ownership of Your Content.

To operate the Service we need a limited license from you to store and display Your Content to you and to anyone you authorize (e.g. via a client-view link). That license ends when you delete the content or close your account.

You represent that you have the right to upload any images, CAD files, or other materials you import into the Service, and that doing so doesn't violate anyone's copyright, trademark, or other rights.

4. Our intellectual property

The Service itself — the software, UI, branding, presets, and documentation — is owned by speKset LLC and protected by copyright and other laws. We grant you a non-exclusive, non-transferable right to use the Service during your active subscription. You may not reverse-engineer, resell, or redistribute the Service without our written permission.

3D asset presets (PDF sheets, OBJ kits, backdrop images)

Preset assets bundled with the Service (e.g. backdrop PNGs) are licensed to you for use within your own production designs and exports only. You may not redistribute the presets as standalone assets.

The Service integrates with third parties we don't control, for example Stripe (payments), Cloudflare (hosting and CDN), and optionally disguise (render target). Your use of those services is governed by their own terms. We're not responsible for issues arising from third-party services.

7. Termination

You may stop using the Service at any time. We may suspend or terminate your access for violation of these Terms, non-payment, or if we discontinue the Service. On termination, these Terms stop applying except for sections that by their nature should survive (ownership, limitation of liability, governing law).

You are responsible for exporting or downloading Your Content before terminating your account. We may delete data associated with terminated accounts after a reasonable retention period.

8. Disclaimers

The Service is provided "as is" and "as available." We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or suitable for any specific production use.

Production-critical decisions are yours. speKset is a design aid; it is not a substitute for on-site engineering review, rigging checks, or safety inspections. You are responsible for verifying dimensions, loads, and safety in the real world before building anything based on a speKset export.

9. Limitation of liability

To the fullest extent permitted by law, speKset LLC will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost data, or business interruption, arising out of or related to your use of the Service — even if we've been advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or related to the Service will not exceed the amount you paid us for the Service in the twelve (12) months preceding the claim, or one hundred US dollars (US $100) if you haven't paid us anything.

10. Indemnification

You agree to indemnify and hold speKset LLC harmless from any claim, damage, or expense (including reasonable legal fees) arising from (a) Your Content, (b) your use of the Service, or (c) your violation of these Terms or of any law or third-party right.

11. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law principles. Any dispute arising out of or related to these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

12. Changes to these Terms

We may update these Terms from time to time. When we do, we'll update the "Last updated" date at the top of this page. Material changes will be announced in-app or via email. Continued use of the Service after changes take effect means you accept the new Terms.
